Terms of service
These terms are how WeBloom sells website packages from Auckland, New Zealand.
They are written in plain English on purpose. If a lawyer later needs a more formal version, that version still has to match what we actually do.
By paying the amount that brings your total paid to 30% of the agreed website package price, you agree to these terms. Reading the site, filling in a brief without paying, or using the contact form does not, on its own, create a paid build contract.
1. Who we are
WeBloom is a trading name. It is not a registered company on these terms, and we do not claim a registered trade mark.
The person you contract with is Guillaume Chabbert trading as WeBloom.
- Place: Auckland, New Zealand
- Email: hello@webloom.co.nz
- Site: webloom.co.nz
- Hours we usually work: Monday to Friday, 9am–5pm NZT (not a reply-time promise — see Contacting us)
If a limited company is later formed and takes over this work, we will replace this section with that company’s real registered name. Until then, do not read “WeBloom”, “WeBloom Studio”, or the domain as a separate legal person.
We are in trade. The Fair Trading Act 1986 applies to how we advertise and sell.
2. When a contract forms
A contract for the website build is formed when you pay the remaining amount needed so that your total paid equals 30% of the agreed package price, and we accept that payment, on the terms that were shown to you at that time.
These things are not a paid website-build contract:
- visiting the site
- choosing a plan on the plans page only
- filling in the guided brief on `/start` without paying the concept fee
- paying the NZ$89 concept fee only
- sending a message through `/contact` or email
The brief is how you tell us what you need. We use it to understand the job. At the end of `/start` you pay NZ$89 with Stripe for three initial visual directions. That is a concept fee, not three completed websites and not an extra charge on top of the advertised package price. It is fully credited toward the package you later select.
The NZ$89 concept fee is non-refundable because it covers the creation of three initial visual directions. If you continue with WeBloom, the full NZ$89 is credited toward your website package. Concepts are exploratory visual directions, not completed websites. The fee becomes non-refundable once WeBloom starts creating the concepts. We do not start concept production until that NZ$89 is paid.
After you choose a concept and a package, you pay the extra needed to bring your total paid to 30% of the agreed package price. We do not start paid build work until that 30% deposit has been reached (or we agree something else in writing). The remaining 70% is due once the website is approved and before it goes live.
The NZ$89 concept fee is credited toward your website package. After you choose a direction, complete the 30% project deposit. The remaining 70% is due before launch.
If the live site says a brief has “entered the build queue”, that is an operations message, not by itself a promise that paid work has begun.
3. Plans and what is included
We sell three one-off website packages and a custom option. All prices are in New Zealand dollars. GST is not currently charged unless stated otherwise.
| Package | Price | 30% deposit | After NZ$89 concept fee | 70% before launch |
|---|---|---|---|---|
| Launch | NZ$699 | NZ$209.70 | NZ$120.70 | NZ$489.30 |
| Grow | NZ$1,199 | NZ$359.70 | NZ$270.70 | NZ$839.30 |
| Pro | From NZ$1,799 | Calculated from your agreed quote | Calculated from your agreed quote | Calculated from your agreed quote |
The NZ$89 concept fee is paid separately at the end of `/start`. After you pick a style and package, you pay the amount that completes the 30% project deposit. That NZ$89 counts toward the 30%. It is not added on top of the advertised package price.
We are not registered for GST. We do not add GST to these prices, and we do not show a GST number. The figure on the plans page is the amount payable unless an accountant later tells us we must change how prices are displayed.
What each plan includes is whatever the plans page said at the time you paid, not a later marketing rewrite. In outline, that is currently:
Launch — NZ$699
- one conversion-focused page
- mobile-first custom design
- a contact form that sends enquiries by email
- essential on-page SEO setup
- analytics setup
- 1 revision round
- 5–7 business day turnaround, subject to When the clock starts
Grow — NZ$1,199
- up to four custom pages
- mobile-first custom design
- messaging guidance
- contact forms and analytics
- local SEO foundations
- 2 revision rounds
- 7–10 business day turnaround, subject to When the clock starts
Pro — From NZ$1,799
- up to seven custom pages
- website strategy and copy support
- an advanced enquiry form, or a booking integration that embeds or connects an external booking service you already use — not a custom booking platform we build
- enhanced SEO structure
- analytics and conversion tracking
- 3 revision rounds
- 10–14 business day turnaround, subject to When the clock starts
- because Pro is a from-price, the deposit and final payment are calculated from the quote we agree with you
Custom — let’s talk
- for online stores, memberships, customer portals, custom booking systems, databases, custom dashboards, and other work that needs custom functionality or integrations
- quoted separately
- a basic contact or email enquiry form, and a third-party booking integration, are not treated as custom dynamic development
Package prices cover the listed scope. Additional pages, custom functionality, premium third-party services, major content creation and work outside the agreed scope are quoted separately.
Not included unless we agree in writing
- extra pages beyond the plan
- extra revision rounds beyond the plan
- photography, video, paid stock, paid fonts, or paid plugins
- email inboxes, paid ads, ongoing SEO retainers, or social-media management
- content you never send us
- managed hosting and care, which is a separate monthly plan (see Hosting and domain)
If a job needs work outside the plan, we will say so and agree a price before doing it. We will not surprise you with compulsory extras at the end.
4. Revisions
A revision is a reasonable round of changes to the direction you chose — copy tweaks, layout, colours, and obvious fixes — not a new website, a new brand, or a new set of three concepts.
Unless the plans page said something different when you paid:
- Launch — 1 revision round
- Grow — 2 revision rounds
- Pro — 3 revision rounds
After the included rounds, further changes are optional paid work.
Please send revision notes in one go per round where you can. If you change the brief itself (new business, new pages, new features), that is extra work, not a revision.
5. When the clock starts
We do not guarantee a calendar date in these terms.
If the plans page shows a turnaround window at the time you pay, that window is our aim, counted in business days (Monday–Friday, NZ, excluding public holidays). It is not a penalty clause and it is not independent of you.
Turnaround begins once the required payment, completed project brief and required client content have been received. Turnaround is counted in business days and may change if feedback, approvals or content are delayed.
The clock starts only when all of these are true:
- your guided brief is complete, and
- the required payment has been received (the 30% project deposit, including the credited concept fee), and
- any copy, logos, photos, or other materials we reasonably need from you have been received.
The clock pauses while we are waiting on you, a domain registry, a third-party host, or anything else outside our control. It does not run over a New Zealand public holiday.
If no window was stated when you paid, we will finish in a reasonable time for the plan you bought.
Missing an aimed window is not automatically a full refund. If delay is our failure of care or skill, see Refunds and cancellation.
6. Your responsibilities
You agree to:
- give us accurate information in the brief
- send copy, logos, and images you have the right to use, in a form we can actually place on a page
- reply to reasonable questions so the job can move
- check the site before we treat it as launched, and tell us promptly if something is wrong
- keep your own passwords, domain logins (once transferred), and third-party tools secure
- use the finished site lawfully (see Acceptable use)
If you do not send what we need, we can pause the job. After reasonable reminders we may cancel unused work and refund the unused part of what you paid — we will not keep the whole fee just because a file was late.
You are responsible for the claims your own site makes (prices, qualifications, testimonials, “NZ-owned”, medical or financial claims, and so on). We can build the page. We cannot make an untrue claim legal.
7. How we make the site (AI-assisted production)
WeBloom is a small studio. Guillaume Chabbert is the person you contract with.
Concepts and pages may be produced with AI tools and an automated agent, using the structured brief you submit. That is the production method. It is not a secret and it is not a separate contractor you deal with.
We do not promise in these terms that a person will review every concept before you see it, or that support is a staffed helpdesk. If our process later includes a guaranteed human review step, we will say so on the site and in an updated version of these terms.
Using AI does not lower the standard of the service we sell. If the Consumer Guarantees Act applies, the work still has to be done with reasonable care and skill and be fit for the purpose we agreed. AI is a tool. It is not an excuse.
You should not put highly sensitive personal information (health, children’s data, payment card numbers, passwords) into the brief. We do not need it to design a typical small-business site.
8. Hosting and domain
Website build prices do not include a free year of hosting or a bundled domain.
Managed hosting & care from NZ$55/month. Reliable managed hosting and essential technical care for your WeBloom website. Websites hosted by WeBloom require a managed hosting and care plan. This monthly fee is separate from one-off website build prices.
What the monthly plan is intended to cover, from the listed from-price:
- managed website hosting
- one standard `.co.nz` domain registration or renewal
- SSL
- website monitoring
- contact-form monitoring
- essential technical maintenance
- reasonable small-business website traffic
- basic hosting-related support
Your hosting and care plan begins when your website launches. Final pricing depends on website functionality, traffic, storage and support requirements. High-traffic websites, databases, custom applications and paid third-party services may require a custom hosting plan.
Your domain is registered in your name, while WeBloom manages its setup and renewal on your behalf.
The monthly fee is clearly separate from one-off build prices. We do not promise unlimited hosting, traffic, changes, support, or storage, or a fixed hosting price for complex or high-traffic applications.
What the monthly plan does not automatically include: premium-priced domains, extra domains, professional email inboxes, paid third-party apps, or a custom hosting plan for high-traffic, database, or application work.
If we cannot actually arrange hosting or a suitable domain, we will tell you before you pay, or we will refund the unused part of what you paid. We will not take money for a domain we cannot register.
Whose name the domain is in. A `.nz` domain is a licence from InternetNZ through a registrar. Nobody “owns” it in the everyday sense. Where we register a `.nz` domain for you, we will register it in your name where the registrar allows it — not as a WeBloom asset. Other TLDs follow the same idea: you should be the registrant.
Before a hosting or domain renewal is due, we will tell you the renewal fee. These terms do not invent that fee. If it is not paid, the site may go offline and the domain may not renew. We will give you a reasonable chance to move the site and domain to a host and registrar of your choice.
WeBloom is not the underlying host or registrar. The live site is currently served via Replit / Google Frontend. Those providers have their own rules and outages. We are not those companies.
9. Acceptable use
You must not ask us to build, host, or publish anything that:
- is unlawful in New Zealand
- infringes someone else’s copyright, trade mark, or privacy
- is defamatory, fraudulent, or a scam
- is malware, phishing, or an attempt to break into systems
- collects personal information in a way that would break the Privacy Act 2020
- we or our host reasonably cannot carry
We can refuse a brief, pause a build, or take a site down if it would break the law or our host’s rules. If we do, we will tell you. Fees already earned for work properly done may be kept; unused fees are refunded. Illegal work is not refundable as a “change of mind”.
Do not use our contact form, brief, or email to send malware or to harvest other people’s addresses.
10. Intellectual property
Your content stays yours. Copy, logos, photos, and other material you supply remain your property (or your licensor’s). You grant us a licence to use that material solely to design, build, host, and (if needed) defend the site.
Unused concepts stay with us. The directions you do not choose remain ours. You do not get a licence to use them, except as we agree in writing.
The finished site, once you have paid in full. When payment has cleared and the site is delivered, we assign to you the copyright we own in the unique design and code of that finished site. That assignment does not include:
- unused concepts
- our internal tools, prompts, templates, and process
- third-party fonts, stock images, libraries, plugins, or host/registrar rights (those stay on their own licences; we will tell you what we used where we reasonably can)
- rights we do not legally have in AI-generated material
If New Zealand law does not treat some AI-assisted output as our copyright, we still give you a worldwide, perpetual, royalty-free licence to use that delivered output for your own business website.
Until you have paid in full, we only give you a limited licence to review concepts. You may not launch, resell, or reuse unpaid work.
WeBloom may show the finished site in our own portfolio unless you ask us in writing not to, before launch. We will not invent testimonials.
Do not use ® or claim a registered WeBloom trade mark. None is assumed in these terms.
11. Third-party tools
The brief, the site we build, and hosting may use third-party services (for example Replit, Google Frontend, a domain registrar, email, payment providers, and AI processors). Their outages, policy changes, and fees are not entirely in our control.
If a third-party tool is required for a feature you bought (for example a booking integration), you are responsible for that tool’s account and fees unless we agreed otherwise in writing.
12. Contacting us
Email hello@webloom.co.nz or use the form on webloom.co.nz/contact.
The contact form is not a support service-level agreement. These terms do not promise a reply within one working day, or that a form submission will be read instantly.
We usually work Monday to Friday, 9am–5pm NZT. That is when we typically see email. It is not a guaranteed response time.
A brief or a contact message is not a ticket queue we are contractually bound to staff.
13. Refunds and cancellation
There is no “all sales final” rule on these terms. If the Consumer Guarantees Act 1993 applies, you keep the rights that Act gives you. We cannot take those away with a slogan.
A longer version of this section sits in our refunds snippet, if we publish a `/refunds` page. This section is the one that forms part of the contract.
If you change your mind
New Zealand law does not give an automatic cooling-off right for an ordinary website package bought from this site.
- Before you pay the NZ$89 concept fee (and before we register a domain in your name): ask and we will refund any payment in full.
- After the concept fee is paid and we start creating concepts: there is no automatic change-of-mind refund for that fee. The fee becomes non-refundable once WeBloom starts creating the concepts.
- After we start the website build: there is no automatic change-of-mind refund. We may offer a partial refund for unused work. We will not keep 100% of a fee for work we never did.
If we get it wrong
If the Consumer Guarantees Act applies, we must provide the service with reasonable care and skill, fit for the purpose we agreed, in a reasonable time (or the time we actually contracted).
- If the failure can be put right, we will redo or fix it within a reasonable time.
- If we refuse, fail to fix it in a reasonable time, or the failure is substantial (for example the site never launches or is nothing like what was sold), you may cancel and we will refund the unused value — and more if the law requires it.
Using AI does not change this.
If you never supply what we need, or you break acceptable use
We can pause or cancel after reasonable notice. We refund unused fees. We may keep a reasonable amount for work already properly done. We will not treat a late PNG as a reason to keep an entire Pro fee.
If we cannot deliver hosting or a domain we sold
We tell you and refund the unused part (or the whole package if the job cannot reasonably proceed without it).
Chargebacks: please email us first so we can fix or refund through the proper path. That is a request, not a ban on your legal rights.
14. Consumer Guarantees Act and Fair Trading Act
Fair Trading Act 1986. You cannot contract out of the FTA as a consumer. We do not ask you to. These terms do not limit the Commerce Commission’s powers.
Consumer Guarantees Act 1993. The CGA may apply. It depends on the kind of services and how you acquire them — not only on whether you have a business name. We do not say “the CGA never applies because you are a business.”
If the CGA applies, nothing in these terms excludes it except the B2B clause below, and only if that clause is valid.
B2B opt-out (lawyer must review before publish). If, and only if:
- you acquire the services in trade,
- we supply them in trade,
- both of us are in trade,
- you agree to this clause in writing (by accepting these terms, and by any extra checkbox we put at checkout), and
- it is fair and reasonable that you are bound,
then you agree that the Consumer Guarantees Act 1993 does not apply to this contract.
This opt-out does not apply if you acquire the services for personal, domestic, or household use. It does not affect the Fair Trading Act. If this opt-out is ineffective, the CGA applies in full.
Even where the CGA is validly contracted out, we still offer this commercial promise: we will redo work that fails reasonable care and skill within a reasonable time; if we cannot, we will refund unused fees.
15. Limitation of liability
Nothing in these terms limits or excludes:
- liability for death or personal injury to the extent the law does not allow that limit
- fraud or dishonesty
- rights under the Fair Trading Act 1986 that cannot be excluded
- rights under the Consumer Guarantees Act 1993 that apply and have not been validly contracted out
- any other liability that New Zealand law says cannot be limited
Subject to that, and only to the extent NZ law allows:
- we are not liable for loss of profit, revenue, opportunity, data, or goodwill, or for indirect or consequential loss
- our total liability for a job is limited to the amount you paid us for that job
We do not warrant that a website will produce a number of sales, rankings, or enquiries.
16. Privacy
We collect and hold personal information as described in our Privacy statement. Submitting a brief or contact form is also an agreement that we may process that information as the privacy statement describes, including on overseas systems.
17. New Zealand law
These terms are governed by the law of New Zealand.
The New Zealand courts (including the Disputes Tribunal, where it has jurisdiction) may hear disputes. You do not lose any non-excludable right to use a New Zealand forum that the law gives you.
18. Changes to these terms
We may update these terms for new jobs. We will post the new version on this page.
A job you have already paid for stays on the terms you accepted, unless a change is required by law or we both agree in writing.
If we change hosting, AI tools, or prices, we will not rewrite a paid job into a worse deal by quietly editing this page.
19. General
If a court holds one part of these terms unenforceable, the rest still applies.
If we do not enforce a part straight away, we can still enforce it later.
These terms are the contract for the package you paid for. They sit with the plan description at the time you paid and any written email we both agree. They replace earlier informal chat about the same job.
WeBloom, WEBLOOM, and webloom.co.nz are trading style and domain only on these terms. No company, NZBN, GST number, or registered trade mark is stated, because none is assumed.
